Online Computer Systems and COMPACT Publishing Sign Distribution Agreement

August 1992 -- Online Computer Systems, Inc., (Germantown, MD) and COMPACT
Publishing, Inc., (Washington, D. C.) have signed an agreement whereby
Online will become the EXCLUSIVE master distributor of the network version
of the 1992 TIME Magazine Compact Almanac CD-ROM. The networked version
will be offered individually or bundled with Online's number one selling
CD-ROM networking product, OPTI-NET. Available network licenses for the
Almanac are an 8-user license priced at $975 and a 50-user license at
$1,495.

TIME Magazine's Almanac contains more than 10,000 articles covering TIME's
69 year publishing history--all on a single compact disc. Sophisticated
computer searching methods include searching via simple menus, specific
keywords, or linking to connect to related articles. Historical photos and
new color charts illustrate major TIME stories from the 1920's to the
80's. An up-to-date comprehensive almanac of facts and figures completes
this invaluable reference tool.

Online, the developer of OPTI-NET (the best selling CD-ROM networking
solution), is a leader in solving the problems of electronic information
delivery, specializing in applications requiring complex solutions and new
technologies since 1979. Since entering the market in 1986, OPTI-NET has
proven to be the software solution for libraries, schools, and businesses
who need to share multiple CD-ROM products over a network. OPTINET will
operate with most networks fully supporting the NetBIOS or the Novell
IPX/SPX protocol, and will support up to 100 simultaneous users per
optical server.

Online has recently announced new releases for two versions of its
products: OPTI-NET 2.0 for MS-DOS and the enhanced OPTI-NET VAP version.
Both versions include removable OPTI-NET device driver(s) and Microsoft
CD-ROM Extensions TSR, SCSI bus disconnect/reconnect feature and caching
for performance, and centralized LAN management. The VAP version now
includes support for IBM SCSI controller cards, further expanding the
compatibility of OPTI-NET in the network user community. The newest
product in the OPTI-NET family is the NEW OPTI-NET NLM Version. The NLM
version runs as a NetWare Loadable Module (NLM) on a Novell NetWare 386
version 3.11 file server and takes full advantage of the power and
flexibility provided by Novell's newest operating system.
